Online Chinese Language Education Platform — Terms & Policies


第一章:总则 (General Provisions)



1.1 平台定义与范围

本平台为全球用户(包括教师与学生)提供专业的在线汉语教学匹配、课程管理、资源支持及相关技术服务。平台本身不直接提供教学服务,而是作为连接认证教师与学习者的中介技术平台。

This platform provides professional online Chinese teaching matching, course management, resource support, and related technical services for global users (including teachers and students). The platform does not directly provide teaching services but acts as an intermediary technology platform connecting certified teachers and learners.


1.2 协议生效与修改

注册即视为同意本协议全部条款。平台保留随时修改本协议的权利,修改后的协议将在平台公示30日后生效。如用户不同意修改内容,可终止使用平台服务。

Registration constitutes acceptance of all terms of this agreement. The platform reserves the right to modify this agreement at any time. Modified terms will take effect 30 days after being posted on the platform. Users may terminate use of platform services if they do not agree to the modifications.


1.3 教师资格与地域限制

教师须持有相关汉语教学资质(如国际中文教师证书、语言教学学位等)并通过平台审核。未成年人须获得法定监护人同意。平台有权根据自身经营情况与各国法律规定,自行决定开放或暂停服务的国家和地区

Teachers must possess relevant Chinese teaching qualifications (e.g., International Chinese Language Teacher Certificate, language teaching degree, etc.) and pass platform review. Minors​ must obtain consent from a legal guardian. The platform reserves the right to determine, at its sole discretion and in accordance with applicable national laws, the countries and regions in which it offers or suspends its services based on operational considerations.


第二章:账户注册与管理 (Account Registration & Management)



2.1 注册信息真实性

用户需提供真实、准确、完整的个人信息(包括但不限于姓名、国籍、邮箱、联系电话),并应及时更新。平台有权验证用户信息,如发现虚假信息可暂停或注销账户。

Users must provide true, accurate, and complete personal information (including but not limited to name, nationality, email, contact number) and update it promptly. The platform reserves the right to verify user information and may suspend or terminate accounts if false information is found.


2.2 账户安全责任

用户须妥善保管账户密码,不得出借、转让账户。所有账户操作均视为用户本人行为,用户需对账户下所有活动承担法律责任。

Users must keep account passwords secure and shall not lend or transfer accounts. All account operations are considered actions of the user, who bears legal responsibility for all activities under the account.


2.3 账户注销

用户可申请注销账户,平台将在30个工作日内处理。注销前,用户可提取账户内未使用的课程费用余额。注销后,用户数据将依据隐私政策处理,已支付且已消耗的课程费用不予退还。

Users may request account deletion. The platform will process within 30 working days. Before deletion, users may withdraw any unused course fee balance in their account. After deletion, user data will be handled per the Privacy Policy; paid and consumed course fees will not be refunded.


第三章:教师义务与规范 (Teacher Obligations & Standards)



3.1 教学资质与持续认证

教师须提交学历、资格证书及教学经验证明。平台将不定期对教师资质进行复审。

Teachers must submit diplomas, qualification certificates, and teaching experience proofs. The platform will conduct irregular reviews of teacher qualifications.


3.2 课程质量与内容

教师应提前备课,提供结构化的教学大纲与进度表。不得教授违法违规、暴力、歧视性或与汉语教学无关的内容。课程材料应尊重知识产权。

Teachers should prepare lessons in advance and provide structured syllabi and schedules. Teaching illegal, violent, discriminatory, or unrelated content is prohibited. Course materials must respect intellectual property rights.


3.3 时间与纪律

教师应准时上课,如迟到超过5分钟,学生有权取消课程并获得退款。教师如需取消课程,须提前通知学生。

Teachers must be punctual. If late by more than 5 minutes, students have the right to cancel the class and receive a refund. Teachers must notify students  in advance if cancelling a class.


第四章:学生义务与规范 (Student Obligations & Standards)



4.1 学习环境与设备

学生应确保网络稳定、环境安静,并自备必要的学习设备(如摄像头、麦克风)。因学生设备或网络问题导致课程无法进行,课时照常计算。

Students should ensure stable internet, a quiet environment, and necessary equipment (e.g., camera, microphone). If a class cannot proceed due to student equipment or network issues, the session will still be counted.


4.2 课堂纪律

学生应尊重教师,不得在课堂中发表侮辱性、骚扰性或与学习无关的言论。教师有权对扰乱课堂的学生提出警告或终止课程。

Students must respect teachers and shall not make insulting, harassing, or unrelated remarks. Teachers may warn or terminate classes for disruptive students.


4.3 课程录制与传播

未经教师与平台书面同意,学生不得以任何形式录制、传播、转售课程内容。违者将承担法律责任,平台有权永久封禁账户。

Without written consent from the teacher and platform, students shall not record, distribute, or resell course content in any form. Violators bear legal liability; the platform may permanently ban accounts.


第五章:隐私与数据保护 (Privacy & Data Protection)



5.1 数据收集范围

平台收集的数据包括:注册信息、课程记录、学习进度、设备信息、IP地址、支付记录及用户反馈。

Data collected includes: registration information, class records, learning progress, device information, IP addresses, payment records, and user feedback.


5.2 数据使用目的

数据用于:提供与优化服务、个性化推荐、处理支付、发送课程提醒、质量监控、安全防范及法律合规。

Data is used for: providing and optimizing services, personalized recommendations, processing payments, sending class reminders, quality monitoring, security protection, and legal compliance.


5.3 数据存储与跨境传输

数据存储于符合国际安全标准的云服务器。因服务全球化,数据可能跨境传输至用户所在国以外的服务器,平台将采取加密与匿名化措施保护数据。

Data is stored on cloud servers meeting international security standards. Due to global service nature, data may be transmitted across borders to servers outside the user’s country; the platform will use encryption and anonymization to protect data.


5.4 用户数据权利

用户有权查询、更正、删除个人数据。

Users have the right to access, correct, delete personal data. 


第六章:支付、费用与退款 (Payment, Fees & Refunds)



6.1 费用结构
教师收入:教师获得课程费用的70%-85%。
平台服务费:平台收取课程费用的15%-30%作为技术服务与运营支持费。
学生支付价:教师设定公开标价,平台可能根据促销活动调整最终售价*。

*Fee Structure:
Teacher Earnings: 70%-85% of course fees.
Platform Service Fee: 15%-30% of course fees charged for technical and operational support.
Student Price: Set publicly by teachers; final price may be adjusted based on promotions.*

6.2 支付方式与货币

平台支持银行卡、Stripe、PayPal、支付宝、微信支付等。费用按当地货币或美元结算,汇率以支付时为准。

Payment methods include credit cards,Stripe, PayPal, Alipay, WeChat Pay, etc. Fees are settled in local currency or USD; exchange rates apply at time of payment.


6.3 争议处理*
开课前:提前24小时以上取消,全额退款。
开课后:课程已进行不超过1/4时长且因教师原因取消,按比例退款;因学生原因不退款。
争议处理:如对课程质量有争议,平台将调取课程录像(如有)进行仲裁,最迟在7个工作日内做出退款或补偿决定。

*Refund Policy Details:
Before Class: Full refund if cancelled more than 24 hours in advance.
After Class Starts: Proportional refund if cancelled by teacher and less than 1/4 of class completed; no refund if cancelled by student.
Dispute Resolution: Platform will review class recording (if available) for quality disputes and decide on refund or compensation within 7 working days.*

第七章:知识产权 (Intellectual Property)



7.1 平台内容所有权

平台界面、设计、logo、软件代码、文档及原创教学资源(如平台提供的课件模板)归平台所有。用户不得未经授权复制、修改、反向工程或商业化使用。

Platform interface, design, logo, software code, documentation, and original teaching resources (e.g., platform-provided courseware templates) belong to the platform. Users shall not copy, modify, reverse engineer, or commercially use them without authorization.


7.2 教师生成内容

教师独立创作的课件、练习题、视频等教学内容,知识产权归教师所有。但教师授予平台在全球范围内免费、永久的非独占使用权,以便在平台展示、推广及存档。

Teaching materials independently created by teachers (courseware, exercises, videos, etc.) belong to the teacher. However, teachers grant the platform a free, perpetual, non-exclusive license for global display, promotion, and archiving on the platform.


7.3 学生生成内容

学生在平台提交的作业、反馈、评论等,视为授权平台用于服务改进与宣传,平台承诺不用于第三方商业用途。

Assignments, feedback, comments, etc. submitted by students are considered authorized for platform service improvement and promotion; the platform will not use them for third-party commercial purposes.


第八章:禁止行为与违规处理 (Prohibited Conduct & Violation Handling)



8.1 严格禁止的行为
包括但不限于:
  • 冒充他人或使用虚假身份
  • 发布违法、色情、仇恨、暴力内容
  • 企图绕过平台进行私下交易
  • 骚扰、威胁其他用户或客服
  • 利用平台从事诈骗、传销等非法活动
  • 恶意差评、刷单、操纵评分系统

*Strictly prohibited conduct includes but is not limited to:
  • Impersonation or use of false identity
  • Posting illegal, pornographic, hateful, or violent content
  • Attempting to bypass the platform for private transactions
  • Harassing or threatening other users or customer service
  • Using the platform for illegal activities such as fraud or pyramid schemes
  • Malicious negative reviews, fake bookings, or manipulating rating systems*

8.2 违规处理流程

平台收到举报或检测到违规后,将:
  1. 暂时冻结账户并调查
  2. 根据情节严重性给予警告、限制功能、扣除收入、永久封禁等处罚
  3. 涉嫌违法者将移交司法机关

*Violation handling process:
Upon report or detection of violation, the platform will:
  1. Temporarily freeze the account and investigate
  2. Issue warnings, restrict functions, deduct earnings, or permanently ban based on severity
  3. Refer suspected illegal activities to judicial authorities*

第九章:免责声明 (Disclaimer)



9.1 服务“按现状”提供

平台不保证服务不间断、无错误或完全安全。因网络、设备、不可抗力(定义见9.2)导致的服务中断,平台不承担责任。

Services are provided "as is." The platform does not guarantee uninterrupted, error-free, or completely secure services. No liability for interruptions due to networks, equipment, or force majeure (as defined in 9.2).


9.2 不可抗力与制裁 (Force Majeure & Sanctions)

“不可抗力”指超出平台合理控制范围、无法预见、无法避免且无法克服的客观情况,包括但不限于:自然灾害、战争、动乱、罢工、流行病、政府行为、以及国家或政治实体实施的制裁、贸易限制、网络封锁或任何导致平台在特定区域无法合法运营的法律或政策变更

若因此类不可抗力事件(包括但不限于因制裁导致平台核心服务被切断、支付渠道被封锁、或平台在用户所在地区被禁止访问)导致平台无法全部或部分运营、无法为学生提供教学服务、无法为教师提供平台服务,平台不承担任何因此产生的直接或间接损失、影响及责任。平台将尽力采取措施减轻影响,但无义务为因此类事件而未能履行协议承担赔偿。

“Force Majeure” refers to objective circumstances beyond the reasonable control of the platform, which are unforeseeable, unavoidable, and insurmountable, including but not limited to: natural disasters, war, riots, strikes, epidemics, government actions, and sanctions, trade restrictions, internet blockades, or any changes in laws or policies implemented by a state or political entity that render the platform’s operation in a specific region illegal or impossible.

Should such force majeure events (including but not limited to core services being cut off, payment channels being blocked, or the platform being banned in the user’s region due to sanctions) cause the platform to be unable to operate in whole or in part, unable to provide teaching services to students, or unable to provide platform services to teachers, the platform shall not bear any direct or indirect losses, impacts, or liabilities arising therefrom. The platform will endeavor to take measures to mitigate the impact but has no obligation to compensate for failure to perform the agreement due to such events.


9.3 教师与学生关系

平台仅为信息平台,不介入教师与学生之间的具体教学安排、内容争议或个人纠纷。教师与学生之间的法律关系独立于平台。

The platform is only an information intermediary and does not intervene in specific teaching arrangements, content disputes, or personal disputes between teachers and students. The legal relationship between teachers and students is independent of the platform.


9.4 第三方内容与链接

平台可能包含用户发布的第三方内容或外部链接,平台不对其准确性、合法性负责。

The platform may contain third-party content or external links posted by users; the platform is not responsible for their accuracy or legality.


第十章:法律适用与争议解决 (Governing Law & Dispute Resolution)



10.1 法律适用

本协议受平台运营主体所在地(中华人民共和国)法律管辖。国际用户仍须遵守其所在国相关出口管制与法律法规。

This agreement is governed by the laws of the platform operator’s location. International users must still comply with relevant export controls and laws of their country.


10.2 争议解决

双方应首先通过平台客服友好协商。协商不成,任何一方可向平台运营主体所在地有管辖权的人民法院提起诉讼。教师与学生间的争议,平台可提供课程记录作为证据,但不参与诉讼。

Both parties should first negotiate via platform customer service. If negotiation fails, either party may file a lawsuit in the competent people’s court where the platform operator is located. For disputes between teachers and students, the platform may provide class records as evidence but will not participate in litigation.


第十一章:其他条款 (Miscellaneous)

11.1 协议可分性

如本协议任何条款被认定为无效,不影响其他条款的效力。

If any provision is deemed invalid, the validity of other provisions remains unaffected.


11.2 通知送达

平台将通过站内信、注册邮箱发送通知。用户应确保联系方式有效。

The platform will send notices via in-platform messages, registered email. Users must ensure contact information is valid.


11.3 完整协议

本协议构成用户与平台之间的完整协议,取代任何先前口头或书面约定。

This agreement constitutes the complete agreement between users and the platform, replacing any prior oral or written agreements.
